Legal Counsel

Municorn · Limassol, Cyprus

Municorn is a software development company, focusing on professional and productivity mobile solutions. The company was founded in 2015, growing into one of the leaders of the mobile apps universe in 10 years. Already mature, financially successful and independent, we continue to maintain a high growth rate by attracting the most competent talents, expanding current and launching new product streams, and executing a precise and laser-pointed investment strategy.

Our legal department is growing, and we're looking for a talented, self-driven Legal Counsel with a strong corporate law background to join our team and support the Municorn Group across Cyprus and other jurisdictions.

This role is centred on corporate law and corporate governance, with commercial contracts, legal operations and day-to-day legal support as the second layer, and privacy, IP and product compliance matters as the third. You will report directly to the Head of Legal and work closely with finance, product and business teams, gaining exposure to how an international IT group actually operates.

Key focuses:

  • Corporate law and governance. Handling corporate matters of the group entities, with Cyprus as the core jurisdiction and support for entities in other jurisdictions (including the US): preparing board and shareholder resolutions, minutes, powers of attorney and registers, managing corporate changes and filings with the Registrar, supporting the ESOP plan, share transactions and intragroup arrangements, and coordinating external counsel where local advice is required.
  • Commercial contracts. Drafting, reviewing and negotiating commercial agreements typical for an app developer and IT group (vendor and SaaS agreements, licensing, marketing and distribution, contractor and consultancy agreements, intragroup agreements), managing the contract lifecycle from first draft to signature, and maintaining templates and playbooks.
  • Claims and day-to-day legal support. Handling incoming legal requests from users, counterparties, platforms and authorities, preparing responses and positions, and supporting business teams with practical answers on routine legal questions.
  • Legal operations. Building and maintaining the corporate archive of the group (share certificates, statutory documents, signed agreements, corporate records), organising the signing workflow (DocuSign), keeping the legal task tracker up to date, and helping design and roll out legal AI tools and automation within the legal function. Legal operations here means building the infrastructure of the legal function, not administrative work alone.
  • Privacy, IP and product compliance. Supporting the team on privacy matters (GDPR, US state privacy laws, DPAs, DPIAs, data subject requests), IP matters (trademark portfolio, infringement and competitor issues, IP claims and takedowns), AI Acts and product compliance, including preparing internal legal opinions and memos on these topics.

Responsibility areas:

  • Managing corporate governance and corporate records of the group entities in Cyprus and supporting the corporate matters of entities in other jurisdictions.
  • Preparing and reviewing corporate documents, share-related documentation and intragroup arrangements; supporting due diligence processes and corporate transactions when they arise.
  • Drafting, negotiating and managing commercial contracts end to end, with full ownership of deadlines, versions and follow-up.
  • Handling legal requests and preparing responses in coordination with the Head of Legal.
  • Building and maintaining the corporate archive and document management system of the group.
  • Organising contract flows and signing (DocuSign) and maintaining the legal task tracker.
  • Contributing to the development of the legal function: templates, playbooks, internal policies, legal AI tools and automation.
  • Supporting privacy, IP and product compliance matters and preparing legal opinions and memos on regulatory questions.
  • Providing legal support to product, marketing and business operations.

Requirements:

  • Law degree; qualified Cyprus lawyer or equivalent legal qualification.
  • 3+ years of experience as a lawyer in-house and/or at a law firm, with a focus on corporate and commercial law.
  • Strong knowledge of Cyprus corporate law and solid understanding of corporate law and corporate governance principles in general.
  • Understanding of how companies and groups operate: corporate structures, shareholder and board matters, intragroup relations.
  • Experience with commercial contracts: drafting, reviewing and negotiating in English.
  • Understanding of due diligence and M&A processes and ability to support such projects as part of a team.
  • Understanding of the IT and mobile app business and of the legal questions that come with it.
  • Reliability and ownership: you take a task through to the end, keep your commitments and do not need to be chased for status.
  • Strong analytical skills, attention to detail and the ability to deliver accurate work under limited supervision.
  • Excellent communication skills, capable of simplifying complex legal requirements into actionable advice.
  • Working knowledge of GDPR, IP law and product compliance topics.
  • Experience supporting a global team at an Internet services or technology company will be considered as an advantage.
  • Experience with legal AI tools will be considered as an advantage.
  • Excellent working knowledge of English and Greek languages.

We offer:

  • Attractive compensation package, performance-based bonuses.
  • Opportunity to gain significant experience over legal and compliance topics, develop leadership skills and grow with the company.
  • Great benefits: compensation of professional education, foreign languages learning, health and life insurance, children’s school allowances, global corporate offline and online events, etc.
  • Freedom to unleash your professional potential in a highly professional and non-bureaucratic environment. Real opportunity to influence key business outcomes and shape company culture.
  • A supportive legal team ready to guide, mentor, and help you grow every step of the way.
